(“Shoprite Holdings” or the “Company” or the “Group”)

CHANGES TO BOARD COMMITTEES

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the board of
directors of Shoprite Holdings (the “Board”) advises of the following changes to the Board
committees with effect from 4 March 2022:

1.   Audit and Risk Committee (“ARC”)

     Mr Paul Norman and Mr Graham Dempster are appointed as additional members to
     the ARC.

2.   Social and Ethics Committee (“SEC”)

     Ms Dawn Marole is appointed as an additional member to the SEC.

3.   Remuneration Committee (“Remco”)

     Mr Paul Norman is appointed as an additional member to the Remco.

4.   Nomination Committee (“Nomco”)

     Mr Peter Cooper is appointed as an additional member to the Nomco.

5.   Investment and Finance Committee (“Investco”)

     Mr Graham Dempster is appointed as additional member to Investco.

These appointments are in continuation of the Board re-composition process and
succession plan highlighted by the Chairman of the Board during the recent annual general
meeting of the Company held on 15 November 2021.
