NOTIFICATION IN ACCORDANCE WTIH SECTION 45 OF THE COMPANIES ACT, 2008 (“THE ACT”)


Shareholders of AH-Vest are referred to the special resolution tabled and approved at the
Annual General Meeting held on 27 January 2021, authorising, inter alia, directors to provide
financial assistance to or for the benefit of any company or corporation which is related or inter-
related to the Company.

In terms of section 45(2) of the Act, the board has authorised the Company to increase the
amount of the variable loan facility provided to AH-Vest’s holding company, Eastern Trading
Proprietary Limited up to a maximum of R25 million (twenty-five million), for purposes of partially
funding the tomato out-grower scheme in the Limpopo Province, which loan is repaid through
the purchasing of tomato paste by AH Vest which, in turn, enables AH-Vest to secure the local
supply of tomato paste, thereby reducing the company’s exposure to imports and foreign
exchange risk. This authority has been approved previously in accordance with the Act.

The board has satisfied itself that the terms of the increased facility are fair and reasonable and
that the Company satisfies the solvency and liquidity test after extending such facility, in terms of
section 4 of the Act. Shareholders are advised that the total value of the increased facility will
exceed 1/10th of 1% of the Company’s net worth as at the date of the approval of the resolution,
being 28 September 2021.
