CHANGE IN CHAIRMAN AND ROLES OF DIRECTORS

In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the Board of
Directors of Bowler Metcalf (“the Board”) hereby notifies its shareholders of the following changes
to the Board with immediate effect:

(i)    the retirement of Mr Brian Frost as Chairman of the Board; and
(ii)   the appointment of Mr Michael Brain as Chairman of the Board.

Mr Frost will continue to serve on the Board as an independent non-executive director, and as a
member of both the Audit and Risk Committee and Remuneration Committee. The Board wishes
to thank him for his valuable contribution in the role of Chairman over many years.

Mr Brain has served Bowler Metcalf for many years as the former Chief Executive Officer and, in
more recent years, as an independent non-executive director and lead independent director.
The Board wishes him well in his new role.

An announcement regarding further restructure of the Board will be made in due course.
