Retirement of Independent Non-Executive Director

In compliance with paragraph 3.59 of the JSE Listings Requirements,
shareholders are advised that Samuel Ellis Abrahams will be retiring from
the Board of TFG with effect from 2 September 2021, following the
conclusion of the Company’s annual general meeting. Sam, who was due to
retire by rotation at the annual general meeting, will accordingly not
offer himself up for re-election.

Sam has been an independent non-executive director of the Board for over
twenty three years, during which time he served in various capacities,
including as chairman of the Audit Committee, as a member of the Nomination
Committee and as an invitee to the Risk Committee. The Board and management
of TFG wish to express their sincere gratitude and appreciation to Sam for
his immense contribution to the Group and wish him well in his retirement.

Commenting on Sam’s retirement, Michael Lewis, chairman of TFG said:

“Over the past twenty three years, Sam has provided outstandingly loyal and
skilled service to TFG. It has been the greatest of pleasures working with
him and all his colleagues and I will miss his presence and contribution
immensely. All at TFG wish Sam a serene and purposeful retirement.”
