CHANGES TO THE BOARD

Non-Executive Director Appointments

The board of directors of the company (“board”) is pleased to announce, in
compliance with paragraph 3.59 of the Listings Requirements of the JSE, the
appointment of Mr Thabo Mosololi and Ms Dawn Earp as independent non-
executive directors of the company, with effect from 20 May 2021.

Mr Mosololi (51) has an honours degree in finance and economics, is a qualified
chartered accountant and has attended a number of post-qualifying management
development programmes. He has extensive experience in the auditing profession
and in various consulting roles as well as in the hotel, gaming and entertainment
industry.

He has had involvement at chief executive officer level at a black owned auditing
firm, as financial director and operations director in a JSE listed hotel and gaming
business, as a non-executive director of a number of prominent companies
including in the retail and mining sectors and as chief operating officer with an
international hotel and gaming group.

Mr Mosololi’s appointment brings a wealth of knowledge and experience in the field
of audit, finance, financial management, risk management, customer engagement,
operations and regulatory compliance to the board.

Ms Earp (59) has a bachelor’s degree in commerce and an honours degree in
accounting and is a qualified chartered accountant. She has extensive experience
in the gold, platinum and contract mining, and metal refining industries.

She has had involvement in various senior financial management roles, including
as financial director, vice president: financial accounting, and executive director:
finance during her career.

She currently serves as a non-executive director on a number of company boards,
as well as a member or chairperson of various companies’ audit committees and
as a pension fund trustee. She is also involved on the boards or as benefactor of
community and non-profit organisations.
Ms Earp’s appointment brings in-depth knowledge and experience in the field of
financial management and reporting, finance and governance, as well as an
understanding of the functioning of audit committees and social and ethics
committees, to the board.

Executive Director Retirement

The board further announces the retirement of Mr Doug Dare as an executive
director of the company.

Mr Dare (60), the Merchandise Director of the main retailing subsidiary Truworths,
has been an executive director of the company since 2016. Over the span of his
career of more than 35 years in Truworths he has served in a number of leadership
roles, including in relation to merchandise buying and planning, retail operations,
marketing and human resources.

Following his retirement with effect from 31 May 2021, Mr Dare will serve in a part-
time project consulting role to the business.
