                               CHANGES TO THE BOARD OF DIRECTORS



In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors
of AYO Technology (the “Board”) hereby notifies its shareholders that Mr Sello Rasethaba has been
appointed as an Independent Non-Executive Director and Mr I Amod has been appointed as an Executive
Director of the Company, both with effect from 1 April 2021. Mr I Amod previously served as a Non-
Executive Director of the Company.


Mr Rasethaba has a BA Accounting Degree, which he obtained in 1986. Mr Rasethaba is an entrepreneur,
whom holds a number of directorships across various companies and is a business facilitator and former
management consultant. Mr Rasethaba is currently the Chairman of Xpanse Investments Sites-Afla, a
partnership between South African and French structural health monitoring engineers. Mr Rasethaba will
be serving on the Audit and Risk and Remuneration Committees of the Company.


During these unprecedented times of the Covid-19 pandemic, AYO Technology is strengthening its
Healthcare Technology offerings. Mr Amod has industry related experience in the fields of medical
technology. In the last 10 years, Mr Amod has taken up leadership roles in a number of medical
biotechnology businesses as well as in agriculture. Mr Amod has a National Diploma in Engineering.


The Board welcomes the appointments of Mr Rasethaba and Mr Amod and looks forward to their
contribution to the Company.
