CHANGES TO THE PEPKOR BOARD AND BOARD COMMITTEES
In accordance with paragraph 6.71 of the JSE Limited Listings Requirements and paragraph 6.42 of the
Debt and Specialist Securities Listings Requirements, the Pepkor Board wishes to advise shareholders
and noteholders of the following changes to the composition of the Pepkor Board and Board
Committees.
Wendy Luhabe has advised the Board that she will resign from the Pepkor Board with effect from 30
June 2026, as she is scaling down on her board commitments. Wendy has served as a director of Pepkor
since January 2019 and was appointed as Chairperson of the Board with effect from 1 December 2020.
She also serves as Chairperson of the Nominations Committee and will step down from this Committee
upon her resignation from the Board. The Board thanks Wendy for her service and leadership during
her tenure as Chair of the Board.
A process is underway to appoint a new Chairperson of the Board.
Ian Kirk, who serves as Lead Independent Director of Pepkor, will act as Chair of the Board and as Chair
of the Nominations Committee until a new Chairperson of the Board and a new Chairperson of the
Nominations Committee is appointed. Ian was appointed to the Board as an independent non-
executive director in June 2021.
