REVISION OF PSG FINANCIAL SERVICES CREDIT RATING

On Friday, 14 August 2020, Global Credit Rating Co. revised the
long-term and short-term national scale credit ratings for PSG
Financial Services downward by one notch to A+(ZA) and A1(ZA),
respectively, with a stable outlook. The aforementioned revision
took into account, inter alia, the anticipated distribution by PSG
Group Limited (“PSG Group”) of 32 502 856 ordinary shares held in
the issued ordinary share capital of Capitec Bank Holdings Limited
(“Capitec”), comprising approximately 28.11% of the total issued
ordinary share capital of Capitec, to PSG Group ordinary
shareholders by way of a pro rata dividend in specie.

The aforementioned long-term and short-term national scale credit
ratings and outlook are identical to that afforded to PSG Financial
Services during August 2018.
