No Change Statement, Notice of Annual General Meeting and publication of the Integrated Annual
Report and consolidated annual financial statements
Notice is hereby given that the annual general meeting of Tsogo Sun shareholders will be held at 12:00
on Thursday, 17 October 2019 at the Company’s head office, main boardroom, Ground Floor, Palazzo
Towers East, Montecasino Boulevard, Fourways, South Africa to transact the business as stated in the
notice of the annual general meeting.
Shareholders are advised that the Notice of the Company’s Annual General Meeting of shareholders,
incorporating summarised annual financial statements for the year ended 31 March 2019 (“Notice of
AGM”), will be distributed to Tsogo Sun shareholders on Wednesday, 31 July 2019 and will be available
today, Friday, 26 July 2019 , together with the 2019 Integrated Annual Report and consolidated annual
financial statements for the year ended 31 March 2019, on the Company’s website at
www.tsogosun.com/gaming/investors/financial-reports/2019. The annual financial statements contain
no modifications to the reviewed reports which were published on the Stock Exchange News Service on
23 May 2019.
The Board of Directors of the Company has determined, in accordance with Section 59 of the Companies
Act, 71 of 2008, as amended, that the record date for the shareholders to be recorded as shareholders
in the securities register of the Company in order to (i) be entitled to receive the notice of annual
general meeting is Friday, 26 July 2019, and (ii) be entitled to attend, participate and vote at the annual
general meeting is Friday, 11 October 2019. Shareholders trading in the shares of Tsogo Sun after
Tuesday, 8 October 2019 will not be entitled to attend, participate and vote at the annual general
meeting in respect of those shares.
