DISTRIBUTION OF CIRCULAR AND NOTICE OF GENERAL MEETING

Shareholders are referred to the "BBBEE Transaction" announcement released on SENS on 19 November 2018 and
in the press on 20 November 2018, in which it was stated that Barloworld was in the process of preparing a
circular to Shareholders which caters for the necessary authorisations to proceed with the BBBEE Transaction 
(as defined in that announcement), and the "Amendment to the Important Dates and Times of the BBBEE Transaction"
announcement released on SENS on 3 December 2018 and in the press on 4 December 2018 and are advised that the
circular (including the notice of the general meeting to be held at 180 Katherine Street, Sandton, 2196 at 
14:00 on Thursday, 14 February) is being distributed to Shareholders today, Tuesday, 18 December 2018.
