CHANGES TO THE BOARD OF DIRECTORS
In terms of paragraph 3.59 (b) of the Listing Requirements of the JSE Limited, Novus Holdings shareholders
are advised of the following changes to the Board of directors of the Company.
Director not standing for re-election:
As previously noted in the Notice of Annual General Meeting of Novus Holdings, Mr. Bernard Olivier did
not offer himself for re-election as a director at the Annual General Meeting of Novus Holdings, which took
place on 17 August 2018. After having served on the Board for 3.5 years, Mr. Olivier has retired from the
Board as a non-executive director with effect from 17 August 2018. He served as chairman of the Audit
Committee and Remuneration Committee, and member of the Nominations Committee. The Board wishes
to record its gratitude to Mr. Olivier for his long-standing and valuable contribution to the Group since his
appointment as a director of the Board on 23 February 2015.
Changes to the Board Committees:
Further to the retirement of Mr. Olivier, Mr. Christoff Botha has been appointed as chairman of the Audit
and Risk Committee as well as the chairman of the Remuneration Committee.
Changes to the Board of Directors:
The Board of directors of Novus Holdings (“the Board”) is pleased to announce the appointment of Mr.
Dennis Mack as independent non-executive director of the Company with effect from 20 August 2018. Mr.
Mack has been appointed to the Audit and Risk Committee, the Remuneration Committee and the
Nominations Committee.
Mr. Mack a highly experienced Chartered Accountant, has over 25 years’ experience in investment banking,
auditing and corporate finance. The Board welcomes the opportunity to have a new non-executive director
with Mr. Mack’s expertise and looks forward to his contribution.
