Transaction in own shares


Tiso Blackstar announces that on 19 December 2017 it purchased 100,000 ordinary shares of €0.76
each in the Company (the "Shares") at a price of R7.25 (£0.42) per share. The purchased Shares are
expected to be held in treasury in accordance with applicable law.

The Company has a total of 272,307,233 shares in issue and, following the above purchase, excluding
the treasury shares the issued share capital of the Company will be 265,157,717. The number of Shares
purchased represents 0.0367% of the total shares in issue.

The Company has awarded in total 7,028,322 shares to all participants (“Participants”) under the
Management Incentive Scheme (“MIS”), these shares are disclosed as treasury shares for accounting
purposes. However, they have been committed to meeting the Company’s obligations to Participants
under the MIS and the Participants have the right to vote these shares.

The Company has a total of 7,149,516 treasury shares in issue.

Tiso Blackstar confirms that, following the awards above, the Concert Party, as defined in the circular
posted to shareholders dated 26 May 2017, now holds 34,06% of the Company's total voting rights.
